Project Agreements

- Responsibilities of each party
In the event of any conflict between these Terms and a project-specific agreement, the project-specific agreement shall take precedence.
Estimates & Scope
Any estimates provided (including time or cost) are based on the information available at the time.
Changes to scope, requirements, or external dependencies may result in adjustments to:
- Timelines
- Costs
- Deliverables
Additional work outside the agreed scope may be quoted separately.
Payments
Payment terms will be defined within each project agreement.
Unless otherwise stated:
- Invoices are payable within the agreed timeframe
- Work may be paused if payments are overdue
- Late payments may result in delays to delivery
Intellectual Property
Unless otherwise agreed in writing:
- All intellectual property rights remain with AZ Forge until full payment has been received
- Upon full payment, ownership of agreed deliverables may transfer to the client as specified in the project agreement
We reserve the right to reuse general knowledge, skills, and non-client-specific components.
Confidentiality
Both parties agree to treat any confidential information shared during the course of a project as confidential and not disclose it to third parties without consent, unless required by law.
Limitation of Liability
To the fullest extent permitted by law:
- AZ Forge shall not be liable for any indirect, incidental, or consequential damages
- Our total liability for any claim shall not exceed the total amount paid for the relevant services
We do not guarantee uninterrupted or error-free operation of any systems delivered.
Third-Party Services
Projects may involve third-party services (e.g. cloud providers, APIs).
AZ Forge is not responsible for:
- Failures or outages of third-party services
- Changes made by third-party providers
- Costs associated with third-party services unless explicitly agreed
Termination
Either party may terminate a project agreement in accordance with the terms defined within that agreement.
Upon termination:
- All outstanding invoices become payable
- Work completed up to termination will be billed
Changes to These Terms
We may update these Terms from time to time. The latest version will always be available on our website.
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
